Introduction
Welcome to the ChimpVine Affiliate Program. This program is designed to promote the extensive range of educational games, interactive content, quizzes, and articles available on ChimpVine (the “Service”) by partnering with publishers, content creators, and educators (collectively, “Affiliates”).
Acceptance
By joining the ChimpVine Affiliate Program, you agree to abide by these Terms and Conditions. You acknowledge that you have read, understood, and agree to be bound by this agreement.
Affiliate Obligations
Eligibility: To become an Affiliate, you must apply and be approved by ChimpVine. ChimpVine reserves the right to accept or reject any application for any reason.
Content Requirements: Affiliates must ensure their websites and communications are appropriate and not associated with content that is illegal, offensive, or otherwise incompatible with ChimpVine’s values. This includes but is not limited to content that is sexually explicit, promotes violence, or discriminates against any individual or group.
Prohibited Activities: Affiliates are not permitted to engage in any form of deceptive practices, including but not limited to spamming, unauthorized use of intellectual property, or representing themselves as ChimpVine in any misleading way.
Compensation
Affiliates will receive compensation based on the predefined rates for qualified referrals that result in new subscriptions or sales. Details of the compensation structure will be provided upon approval into the program.
Intellectual Property
Affiliates are granted a non-exclusive, non-transferable license to use ChimpVine’s trademarks, logos, and promotional materials solely in connection with the Affiliate Program. This license can be revoked at any time if it’s determined that an Affiliate’s use of the intellectual property is inappropriate or damaging to ChimpVine’s brand.
Termination
Either party may terminate this agreement with immediate effect by giving proper notice to the other party. Upon termination, the Affiliate must cease all promotional activities and remove all ChimpVine intellectual property from their platforms.
Liability and Indemnification
Limitation of Liability: ChimpVine will not be liable for indirect, special, or consequential damages arising in connection with this agreement.
Indemnification: Affiliates agree to indemnify and hold harmless ChimpVine and its employees, directors, and agents from any claims, damages, and expenses, including reasonable attorneys’ fees, arising from the Affiliate’s negligence or breach of these Terms and Conditions.
Governing Law
This agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under or related to this agreement shall be resolved in the appropriate courts in the United States, and both parties consent to jurisdiction therein.
Miscellaneous
Modifications: ChimpVine reserves the right to update and change these Terms and Conditions from time to time without prior notice. Continued participation in the Affiliate Program after such changes constitutes acceptance of the new Terms and Conditions.
Confidentiality: Affiliates must not disclose any confidential information without prior written consent from ChimpVine.
